1. Acceptance of terms

These Terms & Conditions (the “Terms”) form a legally binding agreement between you (“User,” “you”) and Foxyapp (the “Company,” “we,” “us”) covering your access to and use of the Foxyapp software, website, and all related services (together, the “Platform”). By registering, activating a license, purchasing credits, or using any feature, you unconditionally accept these Terms. Continuing to use the Platform also means you accept any future updates to these Terms, which we may make at any time.

2. Eligibility

You must be at least 18 years old to use Foxyapp. By using the Platform you represent that:

• You are at least 18, or the age of legal majority where you live, whichever is greater.
• You have the legal capacity to enter into a binding agreement.
• Your use of the Platform breaks no law or regulation that applies to you.
• The registration details you provide are accurate, current, and complete.

We may suspend or terminate any account we reasonably believe belongs to someone under 18 or who otherwise fails to meet these requirements, without notice or refund.

3. Platform purpose & permitted use

Foxyapp is an on-device AI face-swapping and avatar toolset built solely for lawful content creation, entertainment, and creative expression. You are permitted to use Foxyapp for:

• Content creation, streaming, and publishing on lawful platforms.
• Entertainment, performance, and creative or artistic expression.
• Personal or commercial projects that comply with applicable law.

Any use outside these permitted purposes is a material breach of these Terms.

4. Prohibited conduct & acceptable use

The following is strictly prohibited and is a serious breach of these Terms. You agree that you will not use Foxyapp to:

• Impersonate any real person without their explicit, documented prior consent — including public figures, celebrities, politicians, or private individuals.
• Create or share non-consensual intimate imagery, or any sexual content involving the real or simulated identity of a real person.
• Commit fraud, identity theft, or any form of financial deception, including impersonating someone for financial gain.
• Produce or spread disinformation, propaganda, or deepfakes designed to mislead the public about real events or people.
• Harass, threaten, defame, or otherwise harm any individual or group.
• Break any local, national, or international law.
• Bypass, disable, or tamper with any billing, credit, access-control, or security feature of the Platform.
• Reverse engineer, decompile, or attempt to extract the source code, algorithms, or models behind the Platform.
• Use bots, scripts, or other automated tools to access the Platform without our prior written permission.
• Share, resell, sublicense, or distribute your Platform access or credentials to any third party.
• Generate content that promotes or facilitates violence, terrorism, hate speech, discrimination, or exploitation.

Foxyapp has zero tolerance for using the Platform in furtherance of any fraud scheme or any activity meant to deceive or harm others. Such use will result in immediate account termination, reporting to the relevant authorities, and full cooperation with any resulting investigation.

5. Your responsibility & sole liability

You are solely responsible for everything you create, transmit, or distribute using Foxyapp and for all activity conducted through your account. Foxyapp is a neutral technology tool that runs on your own device; we do not monitor, control, or direct the content you create. Accordingly:

• You bear full legal responsibility for how you use the Platform and for any content you produce.
• We cannot be held liable for your misuse of the Platform or any consequences that follow.
• You agree to indemnify and hold us harmless from any claim, loss, or expense arising from your use or misuse of the Platform.
• If your use of the Platform harms a third party, you — not the Company — are solely liable for that harm.

This section survives the termination of your account and of these Terms.

6. Indemnification

You agree to fully indemnify, defend, and hold harmless Foxyapp and its founders, officers, employees, contractors, partners, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Platform.
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party right, including intellectual-property, privacy, or publicity rights.
• Any content you create or distribute using the Platform.
• Any dispute between you and a third party arising from your use of the Platform.

7. Payments, credits & refunds

Activation fee. A one-time activation fee unlocks your lifetime license to the Platform. This fee is non-refundable once your account has been activated and access has been granted.

Credit purchases. Certain features consume usage credits based on the rates shown on the Platform. All credit purchases are final and non-refundable, except where credits are lost due to a verified technical error on our side, or where a refund is required under consumer-protection law that applies to you.

Credit expiry. Credits do not expire unless your account is terminated for a breach of these Terms, in which case any remaining credits are forfeited without refund.

Disputes. Any billing dispute must be raised within 14 days of the relevant transaction by contacting support@getfoxyapp.com. We will not consider disputes raised after that period.

Fraud & chargebacks. Starting a fraudulent chargeback or payment dispute is a material breach of these Terms. We may terminate your account immediately and pursue recovery of any disputed amounts by legal means.

8. Account security & shared access

You are solely responsible for keeping your account credentials confidential and secure. You agree to:

• Use a strong, unique password and never share your credentials with anyone.
• Notify us immediately at support@getfoxyapp.com if you suspect unauthorized access.
• Accept full responsibility for all activity under your account, whether authorized or not.

We are not liable for any loss arising from unauthorized access to your account that results from your failure to keep your credentials secure.

9. Intellectual property

All technology, software, algorithms, models, designs, trademarks, and content that make up Foxyapp are the exclusive property of the Company or its licensors. Nothing in these Terms gives you any ownership of, or license to, the Platform’s underlying technology beyond the limited right to use it as permitted here. You retain ownership of the media you create with the app, provided you hold the rights to the underlying source material, and you are responsible for how that media is used. You may not copy, reproduce, distribute, modify, create derivative works from, or otherwise exploit any part of the Platform without our prior written consent.

10. Privacy & data

By using Foxyapp you consent to our handling of your data as described in our Privacy Policy. Foxyapp processes the photos, videos, and faces you work with entirely on your own device; that media is never uploaded to us. We do collect the limited account and billing information needed to run and improve the Platform. We do not sell your personal data, though we may share information with authorities where required by law or where we reasonably believe a user is engaged in illegal activity.

11. Limitation of liability

To the maximum extent permitted by law, Foxyapp and its founders, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages; any loss of profits, revenue, data, goodwill, or business opportunity; damages from unauthorized access to or alteration of your data; or damages arising from your reliance on the Platform for any critical purpose. The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted availability. Our total aggregate liability for any claim relating to these Terms or your use of the Platform will not exceed the total amount you paid us in the 30 days before the claim arose.

12. Law enforcement & legal requests

Because Foxyapp runs on your device, we do not actively monitor, review, or control how the tools are used, and we cannot verify the purposes for which the Platform is used. Where we receive a valid, legally binding request from a court, regulator, or law-enforcement authority — such as a court order or subpoena — we will respond only to the extent required by applicable law, and not beyond it. Where the law permits and it is reasonably practicable, we will try to notify the affected user before disclosing their information so they may seek a legal remedy if they choose.

13. Termination

We may suspend or permanently terminate your account — with reasonably practicable notice where possible — for any breach of these Terms, suspected illegal or fraudulent activity, or conduct we determine to be harmful to the Platform, other users, or third parties. Upon termination, your access to the Platform ends immediately, any unused credits are forfeited without refund where termination is for cause, and your obligations under Sections 5, 6, 9, and 12 survive. You may close your account at any time by contacting support@getfoxyapp.com. Termination does not entitle you to a refund of any activation fee or unused credits.

14. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Terms or your use of the Platform will first be subject to good-faith negotiation. If it is not resolved within 30 days, the dispute will be submitted to binding arbitration or to the competent courts of Nigeria, at the Company’s election. You waive any right to take part in a class action or class-wide arbitration against the Company.

15. Modifications to these terms

We may update or modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Platform after an update constitutes acceptance of the revised Terms, and it is your responsibility to review them periodically.

16. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a competent court, that provision will be severed and the remaining provisions will stay in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and Foxyapp regarding your use of the Platform, and supersede all prior agreements, representations, or understandings, whether written or oral.
